The Company is formed for the purpose of acquiring, engaging in a share exchange, share reconstruction and amalgamation with, purchasing all or substantially all of the assets of, entering into contractual arrangements with, or engaging in any other similar business combination with one or more businesses or entities. The Company has not selected any specific business combination target and has not, nor has anyone on its behalf, initiated any substantive discussions, directly or indirectly, with any business combination target. It intends to focus our search for a target business on a technology company that is driving its growth in the electric vehicle (EV) and urban smart mobility industry that may include businesses adjacent thereto in the sustainable transportation and related ecosystem. The Company has not commenced any operations nor generated any revenues.
